Guggenheim Income Fund Code of Ethics

Guggenheim Credit Income Fund's Code of Ethics sets forth the guiding principles by which we operate our Company and conduct our daily business with our stockholders, customers, vendors and with each other. These principles apply to all of the directors and officers of Guggenheim Credit Income Fund (recognizing that the Company does not have any employees) and all of its subsidiaries and its Advisors.

Audit Committee of the Board of Trustees

The Audit Committee is appointed by the Board of Trustees to assist in monitoring (1) the integrity of the financial statements of the Company, (2) the compliance by the Company with legal and regulatory requirements and (3) the independence, qualifications and performance of the Company's internal audit function and independent auditors.
